This Sweepstake is in No Way Sponsored, Endorsed, Administered by, or associated with Twitter, Inc. (“Twitter”), Instagram, or Apple Inc. Void in Florida, New York, and where prohibited by law or where registration or bonding is required.

The MVP #PAULDIAZ Giveaway Sweepstakes (“Sweepstakes”) is sponsored by MVP, LLC (“Sponsor”). By entering, each entrant accepts and agrees to be bound by these Official Rules. Failure to comply with these rules may result in disqualification.

Sponsor. The Sponsor of this Sweepstakes is: MVP MANAGEMENT, LLC 1064 PONCE DE LEON SUITE 507, SAN JUAN, PR 00907

Eligibility. This sweepstake is open only to legal residents of the United States who are at least 18 years old before July 7, 2023. This Sweepstakes is void in Florida, New York, and where prohibited by law or where registration or bonding is required. Employees, officers, and directors of Sponsor, and each of its parent companies, affiliates, subsidiaries, and the immediate family members and their family members or persons living in the same households of such individuals are not eligible to participate in this Sweepstakes. By entering this Sweepstakes, entrants agree to abide by all terms of these Official Rules and to be bound by the decisions of the Sponsor. All federal, state, and local laws apply. The winner of the Sweepstakes (“Winner”) will be required to sign and return to Sponsor within five (5) days an affidavit of eligibility (except where prohibited) affirming their agreement to all terms, conditions, and restrictions in these Official Rules.

Entry Period. The Sweepstakes begins at or about 1:00:01 p.m. Eastern Time (“ET”) on July 10, 2023, and ends at 8:59:59 p.m. ET on July 25, 2023 (the “Entry Period”).

How to Enter. There are four (4) separate requirements for entry in this Sweepstakes: (1) Follow MVP & RFI (2) Like Announcement Post, (3) Comment #PaulDiaz August 5, (4) Tag the Friend you will bring. During the Entry Period, eligible entrants may enter the Sweepstakes by following the instructions below. There is a limit of one (1) Submission per Instagram and Twitter account. Any attempt to use multiple names; or other means to enter this Sweepstakes more than the limit may result in disqualification from this Sweepstakes.

If an entrant uses their wireless phone or device for any of the following methods of entry, this may incur charges from the entrant’s wireless service provider. Entrants should consult their wireless service providers regarding their pricing plans. Message and data rates may apply.

You must have a non-private Instagram account to enter the Sweepstakes and must be a follower of @mostvaluablepromotions and @realfightinc until July 25, 2023, for winner notification purposes to be eligible to claim the Prize, as discussed below. By entering via Instagram, you agree to release Instagram from any liability related to this Sweepstakes. By entering this Sweepstakes, you are acknowledging and agreeing that Sponsor has the right to use your Submission as set forth in these Official Rules. Sponsors may not receive entries that fail to follow these instructions.

By entering this Sweepstakes, you are acknowledging and agreeing that Sponsor has the right to use your Submission as set forth in these Official Rules. Sponsors may not receive entries that fail to follow these instructions.

Sponsor is not responsible for late, improperly submitted, or misdirected entries, including due to technical/network failures, human error, or any other error or malfunction. Sponsor reserves the right to disqualify any entrant who tampers with the Submission process; violates applicable law; violates the applicable terms of service or rules of Twitter, Instagram, YouTube, or TikTok; or otherwise violates these Official Rules. The use of any device, software, or other mechanism to automate Submissions or disrupt the Submission process is prohibited and any Submissions received by such means will be void.

Entrants agree not to upload, post, or transmit any materials that contain computer viruses, Easter eggs, worms, Trojan Horses, or other harmful components or programming routines that are intended to damage, detrimentally interfere with, or surreptitiously intercept or expropriate any system, data, or personal information. Any attempt to deliberately damage any website or undermine the operation of the Sweepstakes is a violation of criminal and civil laws, and Sponsor reserves the right to seek damages from any person who makes such an attempt(s). Entrants also agree not to provide or upload any content that is defamatory, threatening, distasteful, racist, unlawful, or otherwise objectionable.

Any Submissions that violate any of the above requirements or the content restrictions, terms of service, community guidelines, or rules of the platform through which they are submitted (Instagram) are void. Any questions regarding the number of Submissions by an individual or the authorized account holder of an e-mail address or Instagram account shall be determined by Sponsor in its sole discretion, and Sponsor reserves the right to disqualify any Submissions by persons determined to be tampering with or abusing any aspect of the Sweepstakes.

Random Sweepstakes Drawing: Sponsor will conduct a random drawing on July 25, 2023. Winner will be selected by random drawing by Sponsor or its representative from all eligible entries received within the Entry Period. The odds of winning depend upon the number of eligible Submissions received. A purchase of Sponsor’s products or services will not increase the odds of winning. The winner will be contacted by Sponsor’s designated representative by either: (1) Posting a comment on the Winner’s Submission(s); or (2) Via direct message or e-mail to the Winner. The winner must meet all eligibility requirements, including the execution and delivery of all necessary releases. If any attempted notification is not successful within forty-eight (48) hours, the Prize will be forfeited and Sponsor reserves the right to select randomly an alternate winner from among the remaining eligible entries.

Prize. ONE (1) GRAND PRIZE (“Grand Prize” or “Prize”) will be awarded. Grand Prize is (1) round trip tickets to Dallas Tx for two, with an approximate retail value of $1,000, (2) hotel accommodations for two nights, with an approximate retail value of $750, (3) floor seats at Jake Paul vs. Nate Diaz on August 5, with an approximate retail value of $2,000, (4) $5,000 in spending money, and (5) signed poster and gloves by Jake Paul and Nate Diaz with an approximate retail value of $5,000. Upon the Sponsor’s determination that the Winner meets all eligibility requirements, including the execution and delivery of all necessary releases, Winner will be contacted to book accommodations. Prizes may not be exchanged, sold, or traded. The sponsor is not responsible for any delays in rewarding the Prize for any reason.

The winner will work with Sponsor to receive the cash payment. The winner will need to provide banking information to receive their wire of $5,000.

The winner will be solely responsible for any and all local, state, and federal taxes, and all expenses incurred while on the trip. Sponsor will report any individual winnings over $600 (in cash or fair market value of goods or services) in a one-year period to the Internal Revenue Service (“IRS”). The winner will receive an IRS Form-1099 from Sponsor when Sponsor reports any winnings to the IRS.

Sponsor is not liable to compensate for any injury, death, or other incidents including loss of personal property or legal issue while the winner is traveling to and from Dallas, TX, or present in Dallas, TX. The winner is liable for any and all expenses that arise outside of what is awarded through the sweepstakes.

Conditions and Restrictions Apply. Winner must continue to comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. Proof of U.S. residency, age, and identity are required to claim a prize. The winner is subject to verification by Sponsor, whose decisions are final and binding in all matters related to the Sweepstakes. An entrant is not a winner of any prize unless and until that entrant’s eligibility has been verified and the entrant has been notified that verification is complete. In the event that a winner is determined to be ineligible or fails to respond to the Sponsor within forty-eight (48) hours of notification, the Prize will be forfeited and Sponsor reserves the right to select randomly an alternate winner from among the remaining eligible entries. Sponsor reserves the right to terminate the Sweepstakes without awarding the Prize if no eligible winner or alternate winner claims the Prize within the required time period.

The winner will be required to execute and return to Sponsor a liability release and affidavit of eligibility (except where prohibited) within five (5) days of notice of winning. In the event that a winner fails to execute and return a liability release and affidavit of eligibility (except where prohibited) within five (5) days of notice of winning, their Prize may be forfeited and the Sponsor may randomly select an alternate winner from among the remaining eligible entries.

By accepting the Prize, Winner agrees to grant and hereby grants (and agrees to confirm this grant in writing) permission for the Sponsor, its affiliates, and each of their designees to use the Winner’s name, city, and state/territory/province of residence, prize information, photograph, voice, statements, and/or likeness for advertising and promotional purposes, in any media or format now known or hereafter devised, throughout the world, in perpetuity, without additional compensation or permission, unless prohibited by law. Names and e-mail addresses of Sweepstakes entrants may be used for future marketing solicitations by the Sponsor unless the entrant opts out of such marketing uses.

Limitation on Liability. Sponsor will not be responsible or liable for lost, late, damaged, defaced, incomplete, stolen, illegible, indiscernible, illegally obtained, misdirected, inaccurate, or undelivered Submissions, direct messages, comments, replies, tweets, or e-mails, or for any typographical or other error in the printing of the offer, administration of the Sweepstakes, or announcement of the Prize and/or all Sweepstakes-related materials. Sponsor is not responsible or liable for any defect or delay in communication, including, but not limited to, Twitter, Instagram, TikTok, or YouTube use; or for telephonic or computer failures, errors, or interruptions in service, whether via Twitter, Instagram, TikTok, YouTube, or otherwise. By entering this Sweepstakes, each entrant forever discharges, releases, and holds harmless Sponsor and each of its parent companies, subsidiaries, affiliates, and each of its directors, officers, employees, and agents from any and all liability, Claims, losses, damages, causes of action, suits, and demands of any kind arising from or in connection with the Sweepstakes or any prize awarded, however, caused. Sponsor makes no warranty, guarantee, or representation of any kind concerning any prize awarded and disclaims any implied warranty.

Sponsor’s Reservation of Rights. These Official Rules are subject to modification by Sponsor. In the event of a dispute, all decisions made by Sponsor are final and binding. Sponsor reserves the right, in its sole discretion, to disqualify any person who tampers with or abuses the entry process, or who otherwise acts in violation of these Official Rules. Sponsor further reserves the right, in its sole discretion, to cancel, terminate, or modify this Sweepstakes if, for any reason, the Sweepstakes is not capable of completion as planned, including due to force majeure or non-authorized human intervention that compromises or affects the administration, fairness, integrity, or proper conduct of the Sweepstakes.

Disputes. The Sweepstakes is governed by, and all issues and questions concerning the construction, validity, and enforceability of these Official Rules, or the rights and obligations of the entrants, Winner, and Sponsor in connection with the Sweepstakes, will be construed in accordance with, the laws of the State of Delaware, without giving effect to the conflict of laws rules thereof. Subject to the arbitration provision and class action waiver below, exclusive jurisdiction for all disputes, claims, complaints actions, or other legal proceedings (collectively, “Claims”) that are not required to be arbitrated will be in the state and federal courts located in San Juan, Puerto Rico and you consent to the jurisdiction of those courts.

Binding Arbitration. Please read this provision carefully. You understand and agree that you waive your right to sue or go to court to assert or defend your rights connected with these Official Rules, the Sweepstakes, and any prize awarded.

As a condition of entering this Sweepstakes, each entrant agrees: (1) any Claim arising out of or relating to the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class, representative, or consolidated action or proceeding; (2) any Claim arising out of or relating to the Sweepstakes or prize awarded shall be resolved exclusively by binding arbitration in accordance with the rules and regulations of JAMS or its legal successor in effect at the time of arbitration; (3) any such arbitration shall be heard by one arbitrator to be selected in accordance with the JAMS rules and regulations of JAMS or its legal successor in effect at the time of arbitration, in San Juan, Puerto Rico; (4) judgment upon any such arbitration award or decision by the arbitrator may be entered by any court having jurisdiction thereof; (5) any award or judgment shall be subject to all limitations and releases in these Official Rules and shall be limited to actual damages, and shall not, in any event, include any (a) indirect, punitive, exemplary, special, consequential or incidental damages (regardless of the form of action, whether in contract, tort (including negligence), strict products liability or otherwise, and even if a party has been advised of the possibility of such damages); (b) attorneys’ fees or costs of bringing a claim; or (c) any injunctive or other equitable relief; and (6) all aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties. If any part of this arbitration provision is deemed to be invalid, unenforceable, or illegal, or otherwise conflicts with the rules and procedures established by JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein.

Privacy Policy/Disclosures of Information. Sponsor may collect and use personal information that entrants provide to enter the Sweepstakes to actually conduct the Sweepstakes and contact the potential winner(s). Personal information includes any information that can be reasonably linked to a specific individual, including name, postal address, telephone number, and e-mail address. As noted above, Sponsor (including any successors or assigns) may use names and e-mail addresses of Sweepstakes entrants for future marketing solicitations by Sponsor, unless the entrant opts out of such marketing uses. Otherwise, no personal information that the Sponsor collects in connection with the administration of the Sweepstakes will be sold or given to anyone who may contact entrants for any purpose not related to the Sweepstakes.

Severability. Each of the terms of these Official Rules operates separately. If any court of relevant authority decides that any of them are unlawful or unenforceable, the remaining terms will remain in full force and effect.

No Waiver. If Sponsor fails to insist that entrant or Winner perform any of its obligations under these Official Rules, or if Sponsor does not enforce its rights against entrant or Winner, or if Sponsor delays in doing so, that will not mean that Sponsor has waived its rights against entrant and/or Winner and will not mean that entrant and/or Winner, as applicable, does not have to comply with these obligations. If the Sponsor does waive a default by an entrant and/or Winner, the Sponsor will only do so in writing, and that will not mean that Sponsor will automatically waive any later default by an entrant and/or Winner.

Entire Agreement. These Official Rules constitute the entire agreement between Sponsor and Entrant with respect to the Sweepstakes and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between Sponsor and Entrant with respect to the Sweepstakes.
